Terms & Conditions — Vingold Bionergy

Effective date: August 29, 2025

1. Definitions

“Vingold Bionergy” or “we/us” means the company; “you” means the visitor/customer; “Products” means our biomass fuel (wood pellets and dried wood chips).

2. Scope of Services

We manufacture and supply biomass fuel for industrial/commercial use (e.g., boilers, dryers, kilns, co-firing). Products are not intended for human consumption.

3. Orders & Minimum Order Quantity (MOQ)

• Local market: 25 kg bags, MOQ 5 tons (≈200 bags).
• Export market: bulk delivery, MOQ 20 tons.
• Orders are binding upon our written confirmation (PO/contract/proforma invoice).

4. Pricing, Taxes, and Payment

• Prices are subject to change and will be confirmed on the PO/invoice.
• Unless otherwise stated, prices are **Ex-Work (ExW) Sumedang**, exclusive of VAT, freight, insurance, and other charges.
• Payment terms (e.g., down payment, terms of payment) follow the applicable invoice/contract.

5. Delivery, Risk, and Title

• Pickup/dispatch is from our Sumedang factory unless otherwise agreed.
• Risk transfers to the buyer at Ex-Work handover / upon loading onto the buyer’s nominated transport.
• Lead times are indicative and may change due to operational or force majeure factors.

6. Specifications & Quality

Product specifications (e.g., moisture, calorific value, ash, sizing) are stated in offers/contracts. Reasonable tolerances apply in line with industry practice and our technical documents. Inspections may be arranged by mutual agreement.

7. Claims, Cancellation, and Returns

• Written claims for quality/quantity must be submitted within 7 days of receipt, with evidence (photos, reports, test results if any).
• Cancellations after production/scheduling may incur charges.
• Returns/refunds require our prior written approval.

8. Limitation of Liability

Our liability is limited to reasonable replacement or compensation up to the value of the affected goods and excludes indirect or consequential loss (e.g., loss of profit, plant downtime), to the extent permitted by law.

9. Compliance & Anti-Bribery

Both parties must comply with applicable Indonesian laws and regulations, including anti-bribery/anti-corruption, environmental, and biomass fuel transport rules.

10. Force Majeure

We are not liable for delays or failure caused by events beyond reasonable control (e.g., natural disasters, unrest, fires, utility failures, government actions, logistics disruptions).

11. Intellectual Property

All trademarks, logos, site materials, and technical content are the property of Vingold Bionergy or licensors and may not be used without written permission.

12. Privacy

Use of personal data is governed by our Privacy Policy.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Indonesia. Disputes will first be resolved amicably; failing that, parties submit to the jurisdiction of competent courts in Indonesia.

14. Changes to the Terms

We may update these Terms from time to time. The latest version will be posted on this page with the effective date.
